Frizb Terms of Use

Introduction

These Terms of Use ("Terms") govern your access to and use of the services, products, and website ("Services") provided by Frizb ("we," "us," or "the Company"). By using our Services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please do not use our Services.

Eligibility

You must be at least 18 years old to use our Services. By using the Services, you represent that you are of legal age to form a binding contract and meet the eligibility criteria set by Frizb.

Account Registration

To access certain features of our Services, you may be required to create an account. You agree to provide accurate and complete information during registration and keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

  • In any way that violates any applicable law or regulation.
  • To infringe the rights of others or use the Services to engage in any unlawful or harmful conduct.
  • To interfere with the proper functioning of our Services or disrupt other users' access.
  • To transmit any harmful code, malware, or viruses.
  • To reverse-engineer or attempt to gain unauthorized access to any aspect of the Services or systems.

Access and Use of Sensors and Cameras

  • Frizb’s products allow access to sensors and cameras within a network for monitoring and data collection purposes. Such access is provided solely for the intended service of the product.
  • Frizb is not responsible for the content collected from camera or sensor feeds. The customer holds full responsibility for ensuring that the use of sensors and cameras does not violate any privacy laws, regulations, or internal security policies.
  • The customer is responsible for deploying the Frizb Edge Stack in an appropriate network segment to prevent unauthorized access. Frizb’s products are capable of discovering all cameras within the connected network using provided credentials.
  • All discovered camera feeds, once obtained, will be processed and stored within Frizb’s cloud tenancy for the sole purpose of providing the intended service of the product.

Content and Intellectual Property Rights

All content, materials, trademarks, and other intellectual property related to our Services are the property of Frizb or its licensors and are protected by copyright, trademark, and other laws. You agree not to reproduce, distribute, or create derivative works of any content without prior written permission from Frizb.

You retain ownership of the content you create and share through our Services. However, by submitting content through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and distribute your content as necessary to operate, improve, and promote our Services.

Prohibited Conduct

In using the Services, you agree not to engage in any prohibited conduct, including but not limited to:

  • Using the Services for any illegal or unauthorized purpose.
  • Harassing, threatening, or defaming other users.
  • Attempting to interfere with or disrupt the integrity or performance of the Services.
  • Accessing the Services in a manner intended to circumvent security measures.

Privacy

Your use of the Services is also governed by our Privacy Policy, which details how we collect, use, and protect your personal information. By using the Services, you consent to the collection and use of your information as outlined in our Privacy Policy.

Termination of Use

We reserve the right to suspend or terminate your access to the Services at any time, without notice, for conduct that we believe violates these Terms, is harmful to other users, or damages the integrity of the Services.

Upon termination, you must cease all use of the Services. Frizb may also delete or deactivate your account and any related data or information.

Limitation of Liability

To the fullest extent permitted by law, Frizb, its affiliates, and their respective directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Services.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from the Services.

Indemnification

You agree to indemnify and hold harmless Frizb and its affiliates from any claims, liabilities, damages, losses, and expenses, including legal fees, arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

Changes to Terms

Frizb reserves the right to modify these Terms at any time. If we make significant changes, we will notify you by posting the updated Terms on our website or through other communication methods. Your continued use of the Services following any changes indicates your acceptance of the new Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of Delaware, USA, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the use of the Services will be resolved exclusively in the courts of State of Delaware.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
